This Terms of Service Agreement("TOS", “Terms Of Service” or “Agreement”) constitutes a valid, binding, and enforceable legal contract between you the “client” or “user” and Skyline Servers, LLC. (“Skyline Servers”) and is a part of Service Level Agreement (“SLA”)
Skyline Servers reserves the right to change this TOS at any time. Any changes shall be effective immediately upon posting on-line at this location. You may identify whether this TOS has been revised by noting the “Last Revised” date above.
Subject to the terms of this agreement. Skyline Servers will provide hosting services to the client as outlined.
Client represents and warrants that the contact information he, she has provided and will provide to Skyline Servers for purposes of establishing and maintaining services are complete and accurate. Furthermore client agrees to keep this information up to date and notify of any changes within reasonable period of time.
Fees: Fees are paid on the first date of the new billing cycle. Invoices will be generated seven (7) days before the due date, with a reminder being sent one (1) day before the due date. Skyline Servers will send the Client an overdue reminder one (1) day after the due date, with a second overdue reminder being sent two (2) days after the due date. Skyline Servers will send a final and third overdue reminder three (3) days after the due date.
If a Client does not pay their fees within three (3) days of the billing date, Skyline Servers will automatically suspend the account. Skyline Servers reserves the right to terminate a Client's account at anytime if the balance is left unpaid.
Fee Increases: Skyline Servers reserves all rights to increase service fees.
Taxes: It is understood that any Federal, State or Local Taxes applicable shall be added to each invoice for services or materials rendered under this Agreement. Client shall pay any such taxes unless a valid exemption certificate is furnished to Service Provider for the state of use.
Refunds: Skyline Servers offers a 14-day money back guarantee. A claim may only be made within the first 14 days starting from the Service Commencement date. The 14-day refund does not cover added-on fees, domain name registration, SSL certificates, software licenses and promo/discount offers etc. Skyline Servers reserves the right to refuse the money back guarantee if it believes that a Client is abusing the refund policy that’s been offered in goodwill or if the Client is abusing Skyline Servers Terms of Service.
Suspension of Service: Client agrees that Skyline Servers may suspend services to Client without notice and without liability under the following circumstances:
1) Skyline Servers reasonably believes that the services are being used in violation of the Acceptable Use Policy ("AUP")
2) User fails to cooperate with any reasonable investigation of any suspected violation of the AUP
3) Skyline Servers reasonably believes that the service suspension is necessary to protect the network or other users
Client agrees to pay reasonable reinstatement fee if the service is re-instituted following a suspension of service under this subsection.
Service Termination: Skyline Servers agrees to allow the Client to cancel and terminate their services at the end of the billing period with a written notice submitted through a ticket in our system no later than 7 days prior to billing cycle end.
Skyline Servers will fully cooperate with law enforcement agencies in identifying those who use Skyline Servers services for illegal activities. Client agrees that Skyline Servers may, without notice to Client, 1) report to the appropriate authorities any conduct by Client or any of Client’s customers or end users that Skyline Servers believes violates applicable law, and 2) provide any information that has about Client or any of its users in response to a court order or subpoena to cooperate with a law enforcement investigation.
Backups of shared hosting/VPS servers are performed by Skyline Servers as a courtesy to clients; however, all clients agree to maintain a current local copy of their files in the event backups are irretrievable for any reason. Skyline Servers will not be deemed responsible for data or other loss resulting from the unavailability of backups. Backups will not be retained for accounts that have been canceled, unless such retention is deemed necessary by Skyline Servers. As cancellation requests are processed immediately, any required files from the affected account should be downloaded prior to the cancellation request.
Client agrees that Skyline Servers shall not be in default of any obligation under the Agreement if the failure to perform the obligation is result of event beyond Skyline Servers control, including but without limitation to significant failure of a portion of the power grid or Internet, natural disaster, war, riot, insurrection, epidemic, strikes, organized labor action, terrorist activity or other events of a magnitude, type for which precautions are not generally taken in the industry.
User agrees to cooperate with Skyline Servers reasonable investigation of any suspected violation of the AUP and TOS Policies.
Skyline Servers will not allow any illegal activities of any kind.
Skyline Servers is not responsible for data integrity on equipment reclaimed for non-payment.
